$200 million in alleged undisclosed home purchases; MRP shares fell 8.5% ($2.10/share) on the disclosure

Defendant: Millrose Properties, Inc.Non-party (former parent): Lennar Corporation

Investors filed a federal securities fraud class action on October 9, 2026 against Millrose Properties, Inc. — the land-banking REIT Lennar spun off in February 2025 — and its CEO and CFO, alleging the company misrepresented its business as pure land-holding while secretly buying roughly $200 million of completed Lennar homes and renting them out. The suit, covering purchasers of Millrose stock between February 7, 2025 and October 2, 2026, follows an October 2, 2026 Hunterbrook Media report that identified more than 700 such home purchases across 51 counties in 15 states; Millrose shares fell 8.5% on the news.

Why it matters

The case tests how much disclosure a spun-off REIT owes the market when an amendment to its governing agreements with its former parent quietly expands its business beyond the narrow mandate investors were sold on at the IPO. For land-banking vehicles, ground-lease REITs, and other single-purpose spinoffs, it is an early signal that courts may treat a related-party contract amendment as a disclosure event in its own right, not a private matter between affiliates.
