Copper Mill Sues Joint-Venture Partners POB Capital and Pactolus Over Collapsed Dorchester Development Deal
Boston developer Copper Mill sued joint-venture partners POB Capital and Pactolus Private Wealth Management, alleging they secretly shopped a $67.5M Dorchester development site at a higher price instead of funding the deal.
Boston developer Copper Mill sued its joint-venture partners, Chicago-based POB Capital and Virginia-based Pactolus Private Wealth Management, in Suffolk Superior Court and Massachusetts Land Court over the collapse of a venture that controlled a 754-unit development site at 75 Morrissey Boulevard in Dorchester. Copper Mill alleges the two investment firms, which held a combined 64.35% stake in the venture, terminated the joint-venture agreement on June 30, 2026 after secretly shopping the $67.5 million site to third parties at a pitched valuation of $82.5 million.
Why it matters
The dispute illustrates how a majority capital partner in a development joint venture can use a claimed funding shortfall as leverage to exit a deal once land values move, potentially capturing upside that was supposed to be shared with the development partner. It is a reminder that minority developer-partners should scrutinize exclusivity and non-solicitation terms governing a majority partner's ability to market the underlying site, and should consider protective filings before a capital dispute becomes public.
