UMB Bank, National Association, as trustee for holders of two series of tax-exempt bonds, sued to foreclose the leasehold interest in the South Florida Proton Therapy Institute at Delray Medical Center on July 13, after the facility's bond-financed owner, Wisconsin-based conduit issuer Public Finance Authority, defaulted on $81.32M in debt. The complaint also names Tenet Healthcare Corporation, Proton International LLC, and Varian Medical Systems as parties that may claim an interest in the facility without being guarantors of the debt, and seeks appointment of a receiver to sell the property, including its two linear accelerators, for the benefit of bondholders.

Why it matters

The case exposes a structural risk specific to conduit-issued healthcare real estate bonds: Public Finance Authority's 'asset ownership' model, under which the authority itself holds title and contracts out operations, has left bondholders without a conventional corporate guarantor across a national portfolio of proton therapy centers that has raised over $700M and is now almost entirely in default. Lenders and investors evaluating unrated, bond-financed healthcare facilities should scrutinize an issuer's full portfolio performance, not just the single asset under review, since systemic failures at sister facilities financed under the same structure can be an early warning sign.
